ResourceFlow AI provides a cloud-based Human Resource Information System (HRIS) with AI-powered predictive analytics, workforce management tools, and related services. The service includes features such as the Dynamic Digital Twin, automated workflows, and privacy-first AI processing.

3. Account Registration

To use our services, you must:

• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly update any changes to your account information
• Be responsible for all activities under your account
• Notify us immediately of any unauthorized access

4. Acceptable Use

You agree not to:

• Violate any laws or regulations
• Infringe on intellectual property rights
• Upload malicious code or attempt to disrupt the service
• Attempt to gain unauthorized access to our systems
• Use the service to discriminate against protected classes
• Reverse engineer or copy any part of the service
• Resell or redistribute the service without authorization

5. Data Ownership and Rights

You retain all rights, title, and interest in your data. We do not claim ownership of any data you upload to our platform. We only process your data as necessary to provide the services and as specified in our Privacy Policy. Your data will never be used to train AI models for other customers or sold to third parties.

6. Service Availability

We strive to maintain 99.9% uptime but cannot guarantee uninterrupted access to our services. We may perform scheduled maintenance with advance notice. We are not liable for service interruptions beyond our reasonable control.

7. Payment Terms

For paid services:

• Fees are billed in advance on a monthly or annual basis
• All fees are non-refundable except as required by law
• We may change fees with 30 days' notice
• You are responsible for all applicable taxes
• Late payments may result in service suspension

8. Free Trial

We may offer free trial periods. During the trial, you have full access to features available in your selected tier. After the trial period, you will be charged unless you cancel before the trial ends.

9. Intellectual Property

ResourceFlow AI and all related marks, logos, and materials are our property or our licensors' property. You may not use our intellectual property without express written permission.

10. AI-Generated Insights Disclaimer

While our AI models are trained to provide accurate predictions and insights, they are tools to assist decision-making, not replace human judgment. You are solely responsible for all employment decisions made using our platform. We do not guarantee specific outcomes from using our predictive features.

11. Compliance Obligations

You are responsible for ensuring your use of ResourceFlow AI complies with all applicable employment laws, data protection regulations, and industry standards in your jurisdiction. While we provide tools to assist with compliance, ultimate responsibility rests with you.

12. Termination

Either party may terminate the agreement:

• You may cancel your account at any time from your account settings
• We may suspend or terminate your account for violation of these terms
• We may terminate with 30 days' notice for any reason
• Upon termination, you will lose access to your account and data after 90 days
• You may request data export before account closure

13. Limitation of Liability

To the maximum extent permitted by law, ResourceFlow AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

14. Indemnification

You agree to indemnify and hold harmless ResourceFlow AI from any claims, losses, damages, liabilities, and expenses arising from your use of the service, violation of these terms, or violation of any rights of another party.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where ResourceFlow AI is incorporated, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these Terms or your use of the service will be resolved through binding arbitration, except that either party may seek injunctive relief in court for intellectual property infringement.

17. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or through the service. Your continued use of the service after such notification constitutes acceptance of the modified Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ResourceFlow AI regarding the use of our services.
